IMAGE PURCHASE & LICENSE AGREEMENT (Buyer)

  1. Purchased Asset
    Copyright owner: Angie Balzan (licensed to Seller for sale).

  2. Sale & License Grant
    Upon receipt of full payment, Seller grants Buyer a non‑exclusive, non‑transferable license to use the Purchased Asset for the Permitted Uses and Term below. This is not a transfer of copyright.

  3. Permitted Uses 

  • Commercial use: social media (organic & paid), website, digital marketing, online advertising.
  • Editorial use: news, blogs, non‑commercial articles.
  • Personal use: private printing, personal social media (non‑commercial).


  1. Territory & Term
    Territory: Worldwide 
    Term: 24 months beginning on date of download/payment.

  2. Restrictions

  • No sublicensing, resale, or redistribution of the Purchased Asset as a standalone file.
  • No use in unlawful, defamatory, pornographic, or politically sensitive contexts without prior written consent.
  • No major alteration (beyond cropping, resizing, basic color correction) without prior written permission. Significant edits or derivative works require separate license.
  • If model/property releases are not supplied, Buyer’s use is restricted to editorial only unless releases are provided.

  1. Fee & Payment
    Payment due at time of purchase. All sales are final unless otherwise agreed.

  2. Delivery
    High‑resolution file made available for download via download link upon confirmed payment. Buyer must download file within 3 hours; re‑delivery may incur fee. One download per payment.

  3. Attribution
    Where feasible, Buyer will credit the photographer as: “Photo: Angie Balzan / Valletta Insider.” For size‑restricted uses (e.g., some ads), credit in caption/credits is acceptable.

  4. Representations & Warranties
    Seller represents it has the right to sell the license to the Purchased Asset. Buyer represents that the uses described at purchase are accurate. Seller makes no other warranties regarding suitability for Buyer’s purpose.

  5. Indemnity & Liability
    Buyer will indemnify Seller and Licensor against claims arising from Buyer’s breach of this Agreement or misuse of the Purchased Asset. Except for willful misconduct, Seller’s liability is limited to the purchase price paid.

  6. Termination & Remedies
    Breach of this Agreement by Buyer may result in revocation of the license and requirement to delete all copies of the Purchased Asset. Seller may pursue injunctive relief and damages.

  7. Governing Law
    This Agreement is governed by the laws of Malta. Disputes resolved in the courts of Malta.

  8. Entire Agreement
    This Agreement constitutes the full agreement between Buyer and Seller concerning the Purchased Asset.
